By accessing or purchasing any EdSignal product or data, you ("Customer") agree to these Terms. EdSignal is operated by EdSignal ("we," "us"). If you are purchasing on behalf of a company, you represent that you have authority to bind that company to these Terms.
EdSignal grants Customer a limited, non-exclusive, non-transferable license to use EdSignal data for internal B2B sales and marketing purposes during the subscription period. This license does not include the right to sublicense, resell, redistribute, or share EdSignal data with any third party outside of Customer's organization.
No redistribution. You may not share, sell, sublicense, or provide EdSignal data to any person or entity outside your organization. Each seat license covers one individual user within your company. Sharing data files externally — including with contractors, partners, or sister companies — requires a separate seat or enterprise agreement.

Customer is solely responsible for complying with CAN-SPAM, CASL, GDPR, and all applicable laws governing outbound email. Each email sent using EdSignal data must include: Customer's physical mailing address, a functioning opt-out mechanism, and an accurate subject line. EdSignal is not liable for Customer's outbound communications.
EdSignal refreshes data on a rolling weekly cycle and provides a deliverability guarantee for direct-scraped emails. However, EdSignal makes no warranty that all records are current or error-free. If bounce rates on a delivered dataset exceed 10%, Customer may request a re-pull at no charge within 30 days of delivery.
Each seat license is for one named user within Customer's organization. Customer may not share login credentials, data exports, or API keys with users outside their licensed seat count. Additional users require additional seat licenses. EdSignal reserves the right to audit usage and invoice for unauthorized seats.
EdSignal may embed non-visible watermarks or canary records in delivered datasets to detect unauthorized redistribution. If EdSignal detects redistribution of watermarked data, Customer will be liable for damages equal to the higher of (a) 12 months of the applicable subscription fee or (b) $10,000 per incident, plus legal fees.
Customer agrees to indemnify, defend, and hold EdSignal harmless from any claims, damages, fines, or legal fees arising from Customer's use of EdSignal data, including any violation of anti-spam laws, privacy laws, or these Terms.
EdSignal's total liability to Customer for any claim under these Terms shall not exceed the amount Customer paid in the 12 months preceding the claim. EdSignal is not liable for indirect, incidental, or consequential damages.
EdSignal may terminate any account immediately for violation of these Terms, with no refund of prepaid fees. Upon termination, Customer must delete all EdSignal data from their systems within 5 business days.
These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Los Angeles County, California.
